In order for us to release information on any listing, our Sellers require us to ask you to fill out our Non-Disclosure Agreement below.

NON-DISCLOSURE AGREEMENT

I, the undersigned hereby acknowledge that the names of Sellers, the business name(s) of Sellers and certain confidential information, records, studies, and trade practices of Sellers and their business(es) will be revealed to me. These disclosures will be given in SECRECY AND CONFIDENCE and used for the sole purpose of assessing the prospective purchase of a business through Hyde Business Properties and Valuations, Inc. (HBPV).

I agree not to disclose any of the information given in connection, either directly or indirectly, to third parties except direct support people such as my attorney and/or accountant and/or banker. The material and information furnished is believed to be reliable for the purpose of evaluating the business but its accuracy is not guaranteed by either the sellers or by HBPV. Further, I agree not to contact the Sellers of the businesses, or their employees and customers, directly and understand that all negotiations, inquiries, investigations, offers to purchase, and/or letters of intent must be made through HBPV.

It is understood that this Agreement applies to any information previously supplied by HBPV verbally or in writing. I understand that neither the seller, its officers, directors, employees nor HBPV shall have any liability as a result of furnishing me the material included in this agreement.

I understand that if I interfere in any way with HBPV’s contractual right to fees from the Seller, I may be personally liable for that fee. It is agreed, however, that if I make the purchase through HBPV, I am not liable for a fee unless I specifically agree to paying HBPV a fee in the purchase contract.

In compliance with our agreement with our sellers, we cannot release their financial information prior to financially qualifying a prospective buyer. Therefore, please check the spaces that apply or fill in the information requested below:

When we meet with you in person, we will give you a copy of the brochure and ask that you sign the receipt indicating that you have been given the brochure and agree to read it. Oregon does not have a form that needs to be signed for business transactions as does Idaho.
